3.1 Account Creation

To access the Service, you must create an account by providing:

• Your name or business name
• Authentication via our supported sign-in methods

3.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access

3.3 One Account Per User

Each user or business entity may maintain only one account unless expressly authorized by us in writing.

5.1 Available Plans

Prices are in Indian Rupees (INR). International pricing may vary.

5.2 Usage Limits

• Pages Scraped – Maximum number of product and support pages that can be processed
• Messages per Month – Total AI-generated responses across all your bots
• Sites – Number of unique websites/bots you can create

Usage limits reset on your billing cycle date each month.

5.3 Exceeding Limits

If you exceed your plan limits:

• Messages: Additional messages will be paused until the next billing cycle or until you upgrade
• Pages: You will not be able to scrape additional pages until you upgrade or delete existing content
• Sites: You cannot create new bots beyond your plan limit

We will notify you when you approach or reach your limits.

5.4 Billing Terms

• Paid subscriptions are billed monthly in advance
• Payment is due at the start of each billing cycle
• All fees are non-refundable except as required by law
• We may change pricing with 30 days notice

5.5 Free Demo Plan

The Free Demo plan:

• Is provided for evaluation purposes only
• Includes VartaFlow branding on the widget
• May have reduced features or response times
• May be discontinued or modified at any time

6.1 You Agree To:

• Use the Service only for lawful purposes
• Provide accurate information when configuring your bots
• Ensure your website content complies with applicable laws
• Obtain necessary rights to content you submit for scraping
• Inform your visitors that they are interacting with an AI assistant

You may not use the Service to process, store, or distribute content that:

• Is defamatory, obscene, or offensive
• Infringes intellectual property rights
• Contains malware, viruses, or harmful code
• Promotes violence, discrimination, or illegal activities
• Violates privacy rights of individuals
• Is false, misleading, or deceptive

7.1 Ownership

• Your Content: You retain ownership of all content you provide, including website content submitted for scraping
• Scraped Data: Processed data derived from your content remains associated with your account
• Our Service: We retain all rights to our platform, AI models, algorithms, and technology

7.2 License Grant

By using the Service, you grant us a non-exclusive, worldwide, royalty-free license to:

• Access and scrape the URLs you provide
• Process, store, and analyze your content for AI training
• Generate embeddings and search indexes from your content
• Display product information within the chat widget

This license is limited to providing the Service and terminates when you delete your content or account.

7.3 Responsibility for Content

You are solely responsible for:

• The accuracy of content on your website
• Ensuring you have rights to content submitted for scraping
• The legality of products or services promoted through the widget
• Responses your configured AI provides to visitors

7.4 Content Removal

You may delete scraped content at any time through the dashboard. Upon deletion:

• Product and support data will be removed from our databases
• Associated embeddings will be deleted
• Cached data may persist for up to 30 days in backups

8.1 Installation

• You may install the widget only on websites you own or control
• The widget must be installed using the provided embed code
• Modifications to the widget code are not permitted

8.2 Branding

• Free Demo plan: Must display VartaFlow branding
• Starter plan: Must display VartaFlow branding
• Pro and Business plans: May remove branding

8.3 Visitor Interactions

• All visitor chat data is processed according to our Privacy Policy
• You are responsible for disclosing AI assistant use in your privacy policy
• You must not collect sensitive data through the chat without proper consent

8.4 Availability

• We strive for high availability but do not guarantee 100% uptime
• The widget may be temporarily unavailable during maintenance
• Response times may vary based on system load

9.1 Nature of AI Responses

• Responses are generated by artificial intelligence based on your scraped content
• AI may occasionally produce inaccurate, incomplete, or unexpected responses
• AI responses should not be considered professional advice (legal, medical, financial, etc.)

9.2 Your Responsibility

You acknowledge and agree that:

• You are responsible for reviewing and monitoring AI responses
• You should have processes to handle incorrect information
• You will not hold us liable for AI-generated content
• You will provide clear escalation paths for complex queries

9.3 No Guarantee of Accuracy

10.1 Our Intellectual Property

The Service, including all software, AI models, algorithms, designs, trademarks, and documentation, is owned by VartaFlow and protected by intellectual property laws.

You may not:

• Copy, modify, or distribute our software
• Use our trademarks without permission
• Claim ownership of our technology
• Create derivative works based on our Service

If you provide suggestions, ideas, or feedback about the Service, you grant us the right to use such feedback without compensation or attribution.

11.1 Integration

The Service integrates with third-party services for:

• Authentication
• AI processing
• Data storage
• Analytics

Your use of third-party services is subject to their respective terms and privacy policies. We are not responsible for third-party services.

The widget may display links to your website or third-party sites. We are not responsible for content or practices of external websites.

• Modify, update, or discontinue features
• Change pricing with 30 days notice
• Update usage limits on plans
• Introduce new services or features

• Dashboard notifications

12.3 Continued Use

Continued use of the Service after changes constitutes acceptance of modified terms.

13.1 Termination by You

You may terminate your account at any time by:

• Canceling your subscription through the dashboard
• Contacting support to request account deletion

Upon termination:

• Access to the Service will cease immediately
• Scraped content will be deleted within 30 days
• No refunds will be provided for unused subscription time

13.2 Termination by Us

We may suspend or terminate your account if you:

• Violate these Terms or our Acceptable Use Policy
• Fail to pay subscription fees
• Engage in fraudulent or illegal activity
• Create risk or legal exposure for us

13.3 Effect of Termination

Upon termination:

• Your right to use the Service ends immediately
• We may delete your data after 30 days
• Provisions that should survive (liability, indemnification) will remain in effect

15.1 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR:

• Indirect, incidental, special, or consequential damages
• Loss of profits, revenue, or business opportunities
• Loss of data or content
• Damages arising from AI-generated responses
• Damages from service interruptions
• Third-party claims against you

15.2 Liability Cap

15.3 Exceptions

Some jurisdictions do not allow limitation of liability for certain damages. In such cases, our liability will be limited to the maximum extent permitted by law.

Before filing any formal dispute, you agree to contact us at support@vartaflow.app or call +91 8308888056 to attempt informal resolution. We will work in good faith to resolve disputes within 30 days.

17.2 Governing Law

These Terms are governed by the laws of India, without regard to conflict of law principles.

17.3 Jurisdiction

Any disputes that cannot be resolved informally shall be subject to the exclusive jurisdiction of the courts in India.

17.4 Class Action Waiver

You agree to resolve disputes individually and waive any right to participate in class action lawsuits or class-wide arbitration.

18.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and VartaFlow.

18.2 Severability

If any provision is found unenforceable, the remaining provisions will remain in effect.

18.3 Waiver

Failure to enforce any right does not constitute a waiver of that right.

18.4 Assignment

You may not assign these Terms without our consent. We may assign our rights and obligations freely.

18.5 Force Majeure

We are not liable for delays or failures due to circumstances beyond our reasonable control (natural disasters, war, pandemics, etc.).
